Jaffe successfully closes strategic acquisition and financing platform on behalf of Applied Merchant Systems

Jaffe Raitt Heuer & Weiss, P.C. represented California-based Applied Merchant Systems (AMS), a leader in the payment processing industry, in the negotiation of a complex financing agreement with Goldman Sachs Specialty Lending Group (Goldman Sachs) and the Business Development Corporation of America (BDCA). Additionally, Jaffe finalized the acquisition of a strategic independent sales organization with more than 10,000 merchant accounts that contribute over $2.2 billion in annual processing volume on behalf of AMS.

“This complex transaction is exactly the type of legal work that Jaffe finds refreshingly challenging,” says Jaffe partner Holli Targan. “We are proud to be a part of the strong growth trajectory that AMS has set forth, and look forward to continuing to help the company pursue exciting new opportunities in the future.”

Jaffe helped AMS accomplish a major growth milestone, allowing the company to expand its senior credit facility with Goldman Sachs and BDCA. AMS is now on track to complete future acquisitions.

“Jaffe was pivotal in helping our team navigate the legal complexities of this significant transaction,” says AMS CEO Jonathan Severn. “We have a robust acquisition pipeline, and Jaffe’s trusted counsel was critical in securing us the capital we needed to take AMS to the next level.”
